femme x COLUMBIA MEMBERSHIP AGREEMENT

 

PURPOSE AND INTENT

The space owns, operates and manages certain real property and facilities known as femme x COLUMBIA  located in Columbia, SC. The facilities of the Space presently consist of a lounge with food and beverage, co-work space, conference room, outdoor seating, locker rooms, workout and meditation room, (collectively, "Space Facilities").

Member wishes to acquire and the Space desires to grant to Member a non-exclusive license to use all or a portion of the Facilities as a member of the Space upon payment of such membership fees as the Space may establish from time to time. Such license shall be subject to the terms and conditions set forth in this Agreement, the Member's Application for Membership in femme x COLUMBIA ("Application"), and the Membership Policy & Space Rules of femme x COLUMBIA, as in effect from time to time ("Membership Policy & Space Rules”).

For and in consideration of Member's payment to the Space of an initiation fee, and in further consideration of the mutual covenants set forth in this Agreement, The Space hereby grants to Member, and Member hereby accepts from the Space, membership on the following terms and conditions:

TERMS AND CONDITIONS

  1. The Buy-in. The Space Operator hereby grants to Member a Membership, constituting a license to use all or a portion of the Space Facilities in accordance with the privileges of such class of membership as set forth in the Membership Policy & Space Rules.

  2. Term of Membership. All new memberships shall commence on the date the membership is purchased. Memberships are billed month-to-month. We ask for a 30 day notice for canceling memberships. Requests can be sent to hello@femmexcolumbia.com

  3. Membership Fees. Member acknowledges and agrees that the monthly fee for the membership is as stated on the website.

  4. Registration Fees. A registration fee for new members is due upon receipt of invoice and is non-refundable. Existing members will be billed a registration fee annually to coincide with the first month of the new year’s payment. Current registration fee is $150. The registration fee is WAIVED for members who join before November 12, 2020. 

Member understands that the membership is subject to payment of the registration fee set forth above, monthly fees and such other fees and charges as the Space may establish pursuant to the Membership Categories (collectively, "Membership Fees"), all of which are subject to change from time to time. Member agrees to be responsible for all charges incurred by Member's authorized users and guests in their use of the Space Facilities.

Member agrees to pay all Membership Fees by an automatic draft from a credit card through the website. Member understands that delinquency in paying any amounts due will result in suspension or termination of membership privileges, and expulsion from membership in the Space. Member further agrees that if Member is delinquent in paying any amounts due, the Space shall be entitled to recover from Member late charges, and all costs and expenses which the Space reasonably incurs in attempting to collect the past due amounts, including, without limitation, attorney's fees and court costs, whether or not suit is filed. Members may pay their Membership Fees in full annually by contacting the Space management. 

  1. Receipt of the Space Documents. Member acknowledges receipt of the Membership Policy & Space Rules and Membership Benefits and Current Rates and agrees to be bound by and comply fully with the terms and provisions of such documents, as they may be amended, and to be responsible for compliance by Member's family members and guests.

  2. Assumption of Risks and Indemnification.

    1. In consideration of the membership and as a condition of using the Space Facilities, Member agrees to all risks associated with the use of the Space Facilities and agrees to release and indemnify the Space from and against any and all losses, expenses, liens, claims, demands and causes of action of every kind and character for death, personal injury, property damage or any other liability, damages, fines or penalties, including, without limitation, costs, attorney's fees and settlements, whether or not based on the acts or omissions of the Space resulting from, arising out of or in any way connected with the use of the Space Facilities by Member, and guests. As used in this paragraph, "the Space" shall include femme x COLUMBIA their respective directors, officers, shareholders, partners, members, agents, related companies, affiliates, predecessors, successors, assigns and employees, and all persons, corporations, partnerships and other entities with which they are or may in the future become affiliated. This paragraph shall survive the termination of this Agreement and Member's membership in the Space with respect to any property damage, personal injury or death occurring prior to such termination.

    2. Member, as a condition of the membership, and each of the Member's guests, as a condition of invitation to use the Space Facilities, assume sole responsibility for their personal property. Member acknowledges and understands that the Space shall not be responsible for any loss or damage to any personal property which Member, Member's family members, guests, may use or store on the Space premises, whether in lockers or elsewhere. Member also acknowledges and understands that Member shall be liable for any property damage or personal injury at the Space, or at any activity or function operated, organized, arranged or sponsored by the Space, which Member and guests may cause. If Member arranges or sponsors any activity or function on the Space premises, Member shall be responsible for any such damage or injury even if such damage or injury was not caused by Member. Member agrees that the Space may charge the cost of any such damage to the Member's account.

  3. No Vested Interest. Member acknowledges that in acquiring a membership, Member acquires only a non-exclusive license to use all or a portion of the Space Facilities, in accordance with this Agreement and the Membership Policies and in common with such other persons, including, without limitation, the general public, as the Space may authorize from time to time. Member acknowledges that Member acquires no ownership or vested rights in or to the Space Facilities or the Space, and does not have any right to participate in the management or control of the Space or the Space Facilities.

  4. Transfer and Assignment of Membership. Member acknowledges that the membership conferred hereunder may not be pledged or assigned and is not transferable, unless and except as otherwise specifically set forth in the Membership Policies.

  5. Member agrees to maintain a current phone number and email address on file with the Space and to regularly check your email on file and the femme x COLUMBIA website for news and information.

MEMBER ACKNOWLEDGES THAT MEMBER IS ACQUIRING A MEMBERSHIP FOR THE SOLE PURPOSE OF OBTAINING SOCIAL BENEFITS AND COWORKING USE OF THE SPACE FACILITIES AND NOT AS AN INVESTMENT OR WITH ANY EXPECTATION OF MAKING A PROFIT FROM THE OWNERSHIP OR FUTURE TRANSFER OF THE MEMBERSHIP.

FEMME X COLUMBIA MEMBERSHIP POLICY & SPACE RULES
 

Members will be welcoming, inclusive, kind, courteous, respectful and professional in their dealings and communication with other members and guests. Absent this ability, members should avoid interaction with the other members. At all space-sponsored events, unsolicited and unwelcome contact, moral turpitude, harassment and interference in the transactions of another are prohibited. Obscenity toward a member, their family or guest, all persons using the Space Facilities including but not limited to the Space staff, management, designated agents, and its board are looked upon with disfavor and persistent or boisterous outbursts will result in your immediate removal from the event. Members will not engage in libelous writings or slanderous remarks harmful to the reputation of the Space or its board, members and guests. Members are prohibited from engaging in conduct that is harmful to the Space, its board, members and guests. 

PREAMBLE

Femme x COLUMBIA (“the SPACE”) has established this Membership Policy & Space Rules (“Code”) to protect the Space and to promote the health, safety, welfare and enjoyment of the members, their guests, and all other persons using the Space Facilities. Management may amend this Code at any time, and publish supplemental “House Rules” which explain, restate, and augment the Code. Such “House Rules” are to be considered part of this Code.

 

GENERAL RULES & REGULATIONS

Members, their guests, and all persons using the Space Facilities shall abide by this Code at all times. Space staff members, or designated agents, have full authority to enforce this Code and report any infractions to the management of the Space.

Membership entitles the member and guests to use the Space Facilities as outlined in the member’s Membership agreement. The Space urges all members to submit changes to their current information by email, and/or in person with the Manager. In no event shall the Space, employees, members and guests discriminate against any individual because of the individual’s race, color, religion, sex, national origin, age, sexual orientation, physical challenge, or marital status.

The use of inappropriate, loud or boisterous language is prohibited. Members and guests are expected to act with civility in both word and deed toward one another.

  • Hours of Operations. Space Facilities are open on the days and hours established by Space management.

  • Areas of the Space may be closed for scheduled maintenance and repairs. The Space reserves the right to close certain areas to reserved conference space, hold private events, weddings and other events or to otherwise reserve or restrict use of Space Facilities. Certain areas of the Space may be designated “member only” areas. The Space may be rented in its entirety no more than quarterly or the renter will buy out the member’s prorated fees for the rental period. Please do not use the upstairs balcony until further notice from management. The door will remain locked at all times.

  • Alcoholic Beverages. The Space is not permitted to sell or serve any alcoholic beverages in any manner prohibited by law. The Space reserves the right to refuse service to a member or guest that appears to be intoxicated. Alcoholic beverage are not permitted beyond the main level for safety reasons. A member or guest is encouraged to contact a Space staff member if they need assistance leaving the Space; arrangements to be made at the member’s expense.

  • Happy Hour Guests: Members can invite non-member guests to the space for happy hour between the hours of 5pm-9pm as long as the member is in attendance and has a femmeSOCIAL membership or above. 

  • Guest Pass. Guest passes can be used for you to invite a guest into the space with you at times other than a happy hour so for example, meeting with a client or coworker. Members can purchase additional guest passes for $15 at the concierge. Guest passes are not needed if you have booked a room. 

  • Food. All food and beverages consumed on the Space Facilities must be furnished by the Space unless otherwise permitted for catered events. Food is only permitted onsite, such as personal meals, for femmeFIVE and above members unless otherwise permitted by Space management. Food may only be consumed on the main level. 

  • Smoking. Smoking on the Space property is not permitted. 

  • Dogs and Pets. Dogs or other pets are permitted at the Space so long as they remain outside in the garden and do not pose a disruption to other members socializing or working in the Space Facilities. Members and guests are responsible for waste removal on the Space Facility premises and damage caused by an animal owned by the member or guest or under the member’s or guest’s control. Pets will be subject to a socialization period (1 day) where a determination will be made if the pet can continue to visit the outdoor space without disruption. 

  • Staff and Facilities. Members may not request special services from Space staff members who are on duty or the personal use of the Space’s furnishings or equipment which are not ordinarily available for use by members. Members are not permitted to hire Space employees if it is determined that it may cause a conflict with the employee’s duties and responsibilities at the Space.

  • Feedback and Notification. To ensure that member feedback, positive or constructive, is received, members are asked to communicate directly with the Space management. Social media criticism or reviews are not permitted. We welcome constructive criticism in person, or in print via email or letter. Members are asked to report to Space management any incidents of an employee not rendering courteous and prompt service. Please remember that all service employees of the Space are under the supervision of the Space management and no member or guest shall reprimand or discipline any employee, nor shall they request an employee to leave the Space Facilities for any reason.

  • Automobiles. Automobiles parked on Space property must be parked within designated parking areas. Please do not park in the parking lot designated for the neighboring law office. The Space Facilities are not responsible for any lost, stolen or damaged items. 

  • 24/7 access. femmeFIXIE and femmeFATALE memberships have 24/7 access to the property and will be given a confidential code to enter the building after hours. Members should only use the ground floor door with keypad if entering the space after hours. Members will ensure that the alarm is returned to its armed state upon leaving the building. Should an emergency arise or a member feels threatened or unsafe, 911 should be called immediately. 

 

Membership & Dues. All food, beverage, merchandise, and services of the Space charged to the member’s Space account will be paid for in full as stated in the membership agreement. Errors in billing charges should be directed to the attention of the Staff manager.

Health & Safety. All members, their guests, Space staff and personnel, will maintain their health and safety. The Space Facilities will be well-ventilated. Upon entering and leaving the Space Facilities, please use the head thermometers provided at the entrance/exit doorway. Ensure immediate notification to Space management if you have a known fever, cough, or other symptoms of respiratory infections. All persons must use a tissue paper when coughing or sneezing while completely covering the nose and mouth. Seal used tissues in a plastic bag before discarding immediately in a touchless receptacle labeled “waste”. Wash hands frequently to maintain personal hygiene. The Space Facilities will provide hand sanitizer throughout to ensure proper hand disinfection when soap is not readily available. Disinfecting wipes will be provided to ensure routine cleaning of surfaces used within the Space Facilities. Dispose disinfectant wipes after each use in a touchless receptacle labeled “waste”. All other disposable items will be placed in touchless receptacles labeled “trash” and “recycling”. If you have or have been in contact with a respiratory infection known as COVID-19, you must notify Space management to initiate a report to the health department and begin quarantine measures. Single use masks and gloves are not required unless recommended or mandated by government officials. Disposable products for single use will be available for food and beverage items.

The Space Facilities will maintain health and safety requirements and regulations on the first floor near the kitchen. 

 

Space Services & Activities

  1. Members are encouraged to use Space Facilities for private functions on any day or evening, provided it does not interfere with the normal operation of the Space, or with the services regularly available to members. Members are asked to use the reserve feature within the member portal  to make reservations for available dates and arrangements. Space management approves or denies the online reservation, and makes necessary communication with fellow members. 

  2. Private non-member functions will be permitted by a sponsoring member once permission from the Space is received. The member sponsoring the function shall assume full responsibility for the conduct of guests and the removal of any decor. The sponsor of the function shall be responsible for any damage to the Space Facilities and for the payment of any charges not paid by individuals attending the private function. A security deposit will be retained and applied to the reservation if there is no damage to the Space Facilities. 

  3. Special events and functions may be scheduled from time to time at the discretion of the Space.

  4. The Space will entertain the possibility of opening on a day or time in which it is normally closed on a case-by-case basis.

 

Loss or Destruction of Property or Instance of Personal Injury

  1. Members and their guests assume sole responsibility for their property. The Space shall not be responsible for any loss or damage to any private property used or stored on the Space Facilities. This includes automobiles parked in the Space parking lot. Upon membership cancelation or termination, the member has 30 days to retrieve all personal property in coordination with Space management or it becomes the property of the Space.

  2. No person shall remove from the Space any property or furniture belonging to the Space without proper written authorization. Every member or guest of the Space shall be liable for any property damage and/or personal injury at the Space, or at any activity or function operated, organized, arranged or sponsored by the Space, caused by the member, his or her guest or any family member or by a guest of the Space. In the case of a member, the cost of such damage shall be charged to the responsible member’s Space account.

 

Gratuity. Tipping our gracious, amiable staff is highly encouraged. Thank you!

Children

  1. Children under 21 years of age are not allowed at the Space Facilities. Exceptions will be made for nursing mothers. 

 

Guest Privileges

  1. All guests must be accompanied by the member, unless given prior approval by Space management. Any individual using the Space Facilities as a guest must be registered by the sponsoring member with the Space.

  2. Guest charges for any services may be paid by the member or guest(s) by debit/credit card.

  3. The sponsoring member shall be responsible for all charges incurred by the guest. The sponsoring member is also responsible for the conduct of a guest while at the Space.

 

Discipline

  1. Members are responsible for their own conduct and for the conduct of their family members and guests. Any member whose conduct or whose family’s or guest’s conduct shall be deemed by the Space to endanger the welfare, safety, harmony or reputation of the Space or its members, may be reprimanded, fined, suspended or expelled from the Space and have all privileges associated with membership suspended or terminated by the Space. The Board of Directors shall be the sole judge of what constitutes improper conduct, but improper conduct will include, without limitation:

    1. failure to meet eligibility for membership

    2. submitting false information on the membership agreement

    3. failing to pay any amount owed to the Space in a proper and timely manner

    4. failing to abide by the Code as set forth herein and as established by the Space from time to time

    5. abusing Space personnel or employees

    6. abusing fellow Space members or Space guests

    7. acting in a manner incompatible with the standard of conduct of the existing membership or which would likely injure the reputation of the members or the Space

    8. any criminal acts involving Space property.

SPACE RENTAL TERMS + CONDITIONS
 

User Responsibilities: 

An authorized representative of the group reserving meeting space must remain on the premises throughout the period for which it is reserved or until the gathering ends. The space must be restored to its original cleaned condition. Users of the space agree to pay for any damages caused by their event or invitees in full and further agree the work will be conducted by a contractor of femme x COLUMBIA’s choosing. All persons associated with the group including but not limited to the Renter, invitees, and contractors are hereby bound to all policies and procedures associated with femme x COLUMBIA. See space rules above.

 

Space Restrictions:

When renting space at femme x COLUMBIA, all activities of the renting party are to be completed and maintained in the designated rental space. The walk-ways are to remain clear for entering and exiting only. 

Food & Beverage:

We offer several options for food and beverage for your event. We have beer and wine on site for purchase in addition to light food options. Check out our menu on the website for pricing. We are also happy to arrange catering options for your event. A service charge of 20% will be charged for events with food and beverage service. This does not include gratuity for servers. 

 

List of Prohibited Activities: 

Any illegal activities or actions as governed by local, state, and federal laws. Drugs. Tobacco products. Any disruptive behavior. Weapons (except those carried by law enforcement or equivalent). Use of any equipment that interferes with femme x COLUMBIA’s operations or which creates any losses or liabilities to femme x COLUMBIA and its authority. Organization or individual gatherings that block or create a safely issue that block or impede the public right-of-way, interfere with the conduct of business, or create litter problems. Open flames (other than catering heating elements). 

 

Cancellation Fees: 

FULL REFUND: Cancel 72 hours in advance; HALF REFUND: Cancel 48 hours in advance; NO REFUND: Cancel less than 48 hours in advance . 

 

Signage and Decoration:

Materials will not be attached to walls, windows, doors, or furnishings. Unauthorized signs will be removed without notice. No open flames, masking or duct tape, glitter, confetti, silly string, etc. may be used in the meeting space. Flameless votive candles are allowed. 

 

Assumption of Risks and Indemnification:

In consideration of the space rental  and as a condition of using the Space Facilities, undersigned agrees to all risks associated with the use of the Space Facilities and agrees to release and indemnify the Space from and against any and all losses, expenses, liens, claims, demands and causes of action of every kind and character for death, personal injury, property damage or any other liability, damages, fines or penalties, including, without limitation, costs, attorney's fees and settlements, whether or not based on the acts or omissions of the Space resulting from, arising out of or in any way connected with the use of the Space Facilities by Renter and guests. As used in this paragraph, "the Space" shall include femme x COLUMBIA their respective directors, officers, shareholders, partners, members, agents, related companies, affiliates, predecessors, successors, assigns and employees, and all persons, corporations, partnerships and other entities with which they are or may in the future become affiliated. This paragraph shall survive the termination of this Agreement in the Space with respect to any property damage, personal injury or death occurring prior to such termination.

Renter, as a condition of this agreement, and each of the Renter's guests, as a condition of invitation to use the Space Facilities, assume sole responsibility for their personal property. Renter acknowledges and understands that the Space shall not be responsible for any loss or damage to any personal property which Renter and guests may use or store on the Space premises, whether in lockers or elsewhere. Renter also acknowledges and understands that Renter shall be liable for any property damage or personal injury at the Space, or at any activity or function operated, organized, arranged or sponsored by the Space, which Renter, and guests may cause. If Renter arranges or sponsors any activity or function on the Space premises, Renter shall be responsible for any such damage or injury even if such damage or injury was not caused by Renter. Renter agrees that the Space may charge the cost of any such damage to the Renter.
